SNUGWELL TERMS AND CONDITIONS OF SALE

By placing an order through the Snugwell Vendor Portal, the customer agrees to be bound by these Terms and Conditions of Sale. Any terms or conditions submitted by the customer that conflict with or supplement these terms are expressly rejected unless agreed to in writing by Snugwell.

  1. Orders and Acceptance
  2. All orders placed through the Snugwell Vendor Portal are subject to acceptance by Snugwell. We reserve the right to refuse, limit, or cancel any order at our sole discretion.
  3. Pricing and Payment
  4. All prices are listed in U.S. Dollars (USD) unless otherwise stated. Payment is due at the time of purchase unless approved credit terms have been established in writing. Snugwell reserves the right to modify pricing at any time without prior notice. Pricing changes will not affect orders that have already been accepted.
  5. Snugwell Vendor Portal Offers
  6. The Snugwell Vendor Portal provides approved vendors, distributors, healthcare providers, retailers, nursing facilities, and other qualified organizations access to exclusive pricing, bulk purchasing opportunities, product availability, order management tools, and promotional offers. Participation in vendor programs, special pricing, volume discounts, and promotional offers available through the Snugwell Vendor Portal is subject to approval by Snugwell and may be modified or discontinued at any time without prior notice.
  7. Shipping and Delivery
  8. Delivery dates are estimates only and are not guaranteed. Customers may be offered the option to request a preferred delivery date during checkout through the Snugwell Vendor Portal; however, requested delivery dates remain subject to product availability, carrier capacity, weather conditions, and other factors outside Snugwell's control. Risk of loss and title transfer to the customer upon delivery of the products to the shipping carrier.
  9. Inspection and Claims
  10. Customers must inspect all products immediately upon receipt. Any shortages, damages, defects, or shipping discrepancies must be reported in writing within seven (7) calendar days of delivery. Failure to notify Snugwell within this period constitutes acceptance of the products as delivered.
  11. Returns and Refunds
  12. Returns require prior authorization from Snugwell. Products must be returned in their original, unopened condition unless otherwise approved.
  13. Certain products, including hygiene, medical, personal care, and healthcare-related items, may not be eligible for return due to health and safety regulations.
  14. Approved refunds will be processed according to Snugwell's return policy. 
  15. Account Registration and Approval
  16. Snugwell reserves the right to approve, deny, suspend, or terminate customer accounts at its sole discretion.
  17. Certain products, pricing, Snugwell Vendor Portal offers, and Snugwell Vendor Portal features may be restricted to approved accounts only.
  18. Limitation of Liability
  19. To the fullest extent permitted by law, Snugwell shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the purchase, use, or inability to use any product or service available through the Snugwell Vendor Portal. Snugwell's total liability shall not exceed the amount paid by the customer for the specific order giving rise to the claim.
  20. Force Majeure
  21. Snugwell shall not be liable for delays or failure to perform resulting from circumstances beyond its reasonable control, including but not limited to natural disasters, transportation disruptions, labor disputes, government actions, supplier shortages, pandemics, or other force majeure events.
  22. Intellectual Property
  23. All content, trademarks, logos, images, product descriptions, and materials displayed on the Snugwell Vendor Portal remain the property of Snugwell or its licensors and may not be copied, reproduced, or used without prior written consent.
  24. Privacy
  25. Customer information collected through the Snugwell Vendor Portal will be stored and used in accordance with Snugwell's Privacy Policy and applicable privacy laws.
  26. Governing Law
  27. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, New Jersey and the United States of America, without regard to conflict of law provisions.
  28. Changes to Terms
  29. Snugwell reserves the right to modify these Terms and Conditions at any time. Updated versions will be posted on the Snugwell Vendor Portal and become effective immediately upon publication.
